Terms of Service for ADMIT UNIT

1. Acceptance of Terms

By accessing the admitunit.asia portal and utilizing our services, you agree to comply with and be bound by these Terms of Service. If you are using the portal on behalf of a business, you represent that you have the legal authority to bind that entity to these terms.

2. The Service & Ecosystem

ADMIT UNIT provides a digital portal for business assessment, diagnostic reporting, and the implementation of operational standards via our 4-Program methodologies (Compliance & Licensing, Quality Standards, Operational Excellence, and Export Readiness). Furthermore, the portal serves as a gateway to the broader ADMIT Global ecosystem, including 2bReady (Trust Badges), 2bgro (E-Commerce), 2bShip (E-Logistics), and GoInvestors (Capital).

3. User Roles & Access

  • SME Admins: Responsible for providing accurate, up-to-date, and non-fraudulent business data. Falsifying data may result in immediate account suspension and revocation of Trust Badges.
  • Development Partners (Donors): Granted access to "Portfolio Oversight" dashboards. Partners agree to use this data strictly for monitoring and evaluation (M&E) purposes and may not interfere with the SMEs' private business operations.
  • Investors: Granted access to "Investor-Grade" reports and pitch decks exclusively for SMEs that have successfully qualified for the L4 (Investable) status.

4. Implementation & Results

While ADMIT UNIT provides the "Master SOP Playbook," diagnostic frameworks, and hands-on implementation, the "Scalable Result" ultimately depends on the SME’s internal discipline and execution. ADMIT UNIT does not guarantee specific export contracts, sales volumes, or investment amounts, as these depend on external market variables.

5. Intellectual Property

  • Our Property: The diagnostic algorithms, 4-Program methodologies, digital dashboards, and SOP templates provided by ADMIT UNIT remain our exclusive intellectual property.
  • Your Property: You retain full ownership of your specific business data, financial records, and legal documents uploaded to the Digital Vault.

6. Fees and Success Incentives

  • Program Fees: Payment for the 4-Program is due as per the individual service agreement and/or through the sponsoring Development Partners.
  • Maintenance Fees: Subscription fees for ongoing legal, tax (GDT), and accounting (ACAR) maintenance are required to keep the "Optimized" and "Licensed" status active on the portal is the responsible of SMEs.
  • Success Fees: Should ADMIT UNIT facilitate successful fundraising through GoInvestors or secure international export contracts, a success fee (typically in %) will apply, as detailed in your specific strategic agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ADMIT UNIT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our portal, reliance on our diagnostic scores, or any interactions with third-party investors and buyers.

8. Termination

SMEs may request to "Soft Delete" their profiles at any time. However, ADMIT UNIT reserves the right to retain certain records as required by Cambodian Law for tax, audit, and compliance purposes. We also reserve the right to suspend or terminate accounts that violate these Terms.

9. Governing Law

These terms are governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any disputes arising from or relating to these terms shall be resolved exclusively through the competent courts in Phnom Penh.

Compliance Note

By using this portal, SMEs explicitly acknowledge and consent that their sponsoring Development Partners (if applicable) will have read-only access to their diagnostic scores and progress reports to track the impact of the sponsorship program.
